Vendor Agreement

This Vendor Agreement ("Agreement") is a legally binding contract between you ("Vendor," "Seller," or "you") and Torva Limited ("Torva," "we," or "us") governing your use of the Torva marketplace platform to sell auto parts and related products.

By creating a seller account and listing products on Torva, you agree to be bound by this Agreement. Please read it carefully before proceeding.

To become a vendor on Torva, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Complete our verification process
• Have the legal authority to sell the products you list
• Maintain a valid business registration (if applicable)

As a vendor, you agree to:

• Accurate Listings: Provide truthful, accurate, and complete information for all product listings
• Photos: Include clear, accurate photos of the actual items being sold
• Pricing: Honor all listed prices and avoid price manipulation
• Fulfillment: Ship items within the specified handling time
• Communication: Respond to buyer inquiries within 24 hours
• Customer Service: Handle returns and issues professionally

Torva charges fees for use of our platform:

• Payment Processing: Standard payment processing fees apply (2.9% + ₦100)
• Optional Services: Additional fees for promoted listings or premium features

Fee structures may be updated with 30 days' notice to sellers.

• Payments are held in escrow until the buyer confirms receipt
• Funds are released to sellers within 48 hours of confirmation
• Payouts are made to your registered bank account
• Minimum payout threshold: ₦10,000
• Payouts are processed every Tuesday and Friday

Vendors must not:

• Sell counterfeit, stolen, or recalled parts
• Manipulate reviews or ratings
• Circumvent Torva's payment system
• Contact buyers outside the platform for transactions
• Engage in deceptive or fraudulent practices
• Violate any applicable laws or regulations

By listing products on Torva, you grant us a non-exclusive license to use your product images and descriptions for marketing and platform purposes. You represent that you have the right to use all content you upload.

Vendors are responsible for the accuracy of their listings and the quality of their products. You agree to indemnify Torva against any claims arising from your products or listings.

Either party may terminate this agreement:

• With 30 days' written notice
• Immediately for cause (policy violations, fraud, non-payment)

Upon termination, any pending orders must be fulfilled, and outstanding balances will be paid out within 30 days.

Any disputes arising from this Agreement shall be resolved through binding arbitration in accordance with the laws of Nigeria.
